TERMS AND CONDITIONS

1. GENERAL PROVISIONS

These Terms and Conditions govern the use of the SKRATCH LOGIC online store available at https://skratchlogic.com (the “Store”), as well as the placing and performance of orders for products offered through the Store.

In these Terms:

“Customer” means any person or entity placing an order through the Store.

“Consumer” means a natural person purchasing outside the scope of their trade, business, craft, or profession.

“Product” means a physical product offered for sale through the Store, including Eurorack modules and related accessories.

“Order” means an order submitted by the Customer through the Store.

“Terms” means these Terms and Conditions.

2. ACCEPTANCE OF THESE TERMS

By accessing the Store, placing an Order, or purchasing a Product, you confirm that you have read and accepted these Terms.

If you do not agree with these Terms, please do not use the Store or place an Order.

You must be legally capable of entering into a binding contract under the law applicable to you. If you are under the age of 18, you may use the Store and place an Order only with the involvement and consent of a parent or legal guardian.

3. PRODUCTS AND PRODUCT INFORMATION

SKRATCH LOGIC designs and sells Eurorack modules and related electronic products.

We make reasonable efforts to ensure that product descriptions, technical specifications, photographs, documentation, prices, and availability information are accurate. However, minor differences in colour, finish, markings, component appearance, packaging, or documentation may occur and do not constitute a defect where they do not materially affect the Product’s functionality or conformity with its description.

Please read the product description, technical specifications, installation instructions, and compatibility requirements before ordering. Customers are responsible for verifying that a Product is compatible with their intended Eurorack case, power supply, other equipment, and planned use.

Unless expressly stated otherwise on the relevant product page, Products are intended for use in a compatible Eurorack system by persons with appropriate knowledge of electronic musical equipment.

4. PLACING ORDERS AND FORMATION OF CONTRACT

Orders may be placed through the Store at any time, subject to technical availability.

To place an Order, the Customer must:

- Select the Product and add it to the shopping cart;

- Provide complete and accurate billing, shipping, and contact details;

- Select an available delivery and payment method;

- Review the Order details and total price; and

- Submit the Order through the checkout process.

After submitting an Order, the Customer will receive an automated order-receipt email. This email confirms that we have received the Order, but does not by itself constitute acceptance of the Order or formation of a sales contract.

The sales contract is concluded when SKRATCH LOGIC sends a separate email confirming that the Order has been accepted for fulfilment, or when the Product is dispatched, whichever occurs first.

We may contact the Customer before accepting an Order if further information, payment verification, a correction, or clarification is required.

5. AVAILABILITY, ORDER REFUSAL AND CANCELLATION

Products are offered subject to availability. We reserve the right to limit quantities, discontinue Products, correct errors, or cancel Orders before dispatch where reasonably necessary.

We may refuse or cancel an Order in particular where:

- The Product is unavailable or an inventory error has occurred;

- The listed price, shipping rate, product description, or other Store information contains an obvious error;

- Payment cannot be authorised, verified, or received;

- We reasonably suspect fraud, unauthorised payment use, abuse, or a breach of these Terms;

- Fulfilment would be unlawful or impracticable; or

- The Customer has provided materially incomplete or inaccurate information.

If we cancel an Order after payment has been received, we will refund the amount paid for the cancelled Product using the original payment method, unless another method is agreed.

6. PRICES, TAXES AND PAYMENT

All Product prices are shown in EUR and are displayed as including applicable VAT or sales tax, where applicable. The final price, including delivery charges and any applicable taxes charged by the Store, is displayed before the Customer submits the Order.

Shipping costs are calculated and shown at checkout. Import VAT, customs duties, brokerage fees, and other destination-country charges may apply to international orders and are the Customer’s responsibility unless explicitly stated otherwise at checkout.

Available payment methods are displayed at checkout and may include Stripe and PayPal

Payment must be successfully received or authorised before an Order is processed, unless another payment arrangement is expressly offered by SKRATCH LOGIC.

We may change Product prices at any time. A price change does not affect an Order already accepted by us, except in the case of an obvious pricing error.

7. DELIVERY AND SHIPPING

Shipping arrangements, delivery destinations, processing times, estimated delivery times, tracking, international customs charges, and procedures for lost or damaged parcels are described in our Shipping Policy.

Our Shipping Policy forms part of these Terms and is available in the Store footer.

8. RETURNS, WITHDRAWAL AND REFUNDS

Returns, refunds, the Consumer right of withdrawal, return costs, and procedures for faulty or incorrect Products are described in our Returns & Refunds Policy.

For Consumers in the European Union, European Economic Area, and the United Kingdom, mandatory consumer-protection rights apply. Where applicable, Consumers may withdraw from a distance contract within 14 days after receiving the Product, without giving a reason.

Our Returns & Refunds Policy forms part of these Terms and is available in the Store footer.

9. FAULTY PRODUCTS AND STATUTORY RIGHTS

Nothing in these Terms limits or excludes any mandatory legal rights available to Consumers.

If a Product is faulty, damaged on arrival, or not in conformity with the sales contract, please contact us promptly at info@skratchlogic.com with your order number and a description of the issue.

Where required by applicable law, SKRATCH LOGIC will provide an appropriate remedy, which may include repair, replacement, a price reduction, or a refund.

10. PRODUCT SAFETY, INSTALLATION AND USE

Eurorack modules must be installed and used in accordance with the relevant product documentation and with the polarity, power requirements, connector orientation, voltage range, and current requirements specified for the Product.

Before connecting a module, the Customer must verify correct power-cable orientation and compatibility with the Eurorack case and power supply. Incorrect installation, reverse-polarity connection, use with an unsuitable power supply, unauthorised modification, misuse, liquid exposure, physical damage, or use outside the published specifications may damage the Product or other equipment.

To the maximum extent permitted by applicable law, SKRATCH LOGIC is not responsible for loss or damage resulting from incorrect installation, incompatible equipment, unauthorised repair or modification, misuse, or failure to follow the Product documentation.

This section does not limit liability for a Product defect, lack of conformity, or any other liability that cannot lawfully be excluded or limited.

11. INTELLECTUAL PROPERTY

All content in the Store, including product designs, front-panel artwork, circuit designs, firmware, graphics, logos, photographs, videos, text, manuals, and other materials, is owned by or licensed to SKRATCH LOGIC and is protected by applicable intellectual-property laws.

Purchasing a Product does not transfer ownership of any intellectual-property rights in that Product or in Store content.

You may not copy, reproduce, modify, publish, distribute, reverse engineer, commercially exploit, or create derivative works from Store content, firmware, hardware designs, or other SKRATCH LOGIC materials without our prior written permission, except where mandatory law permits otherwise.

12. USER CONDUCT

You must not use the Store for unlawful, fraudulent, abusive, or harmful purposes.

You must not interfere with the Store’s security or operation; attempt unauthorised access to systems or accounts; submit false or misleading information; misuse payment methods; or harass, threaten, or abuse SKRATCH LOGIC or persons acting on its behalf.

We may restrict access to the Store or refuse future Orders where reasonably necessary to protect the Store, our customers, or our business.

13. THIRD-PARTY SERVICES AND LINKS

The Store may contain links to third-party websites, social-media platforms, payment providers, or other services. These third parties operate under their own terms and privacy policies.

SKRATCH LOGIC is not responsible for third-party websites, services, content, availability, security, or privacy practices.

14. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, intentional misconduct, death or personal injury caused by negligence where such liability cannot be limited, or mandatory consumer rights.

Subject to the preceding paragraph, and to the maximum extent permitted by applicable law, SKRATCH LOGIC will not be liable for indirect, incidental, special, consequential, or purely economic losses, including loss of profit, loss of data, loss of business opportunity, or loss arising from the use of incompatible equipment.

Where liability may lawfully be limited, the total liability of SKRATCH LOGIC in connection with a particular Order will not exceed the total amount paid by the Customer for the Product giving rise to the claim.

15. FORCE MAJEURE

SKRATCH LOGIC is not responsible for delays or failure to perform obligations caused by events beyond our reasonable control, including natural disasters, fire, flood, war, civil unrest, strikes, transport disruption, epidemic or pandemic, supply-chain interruption, power or internet failures, government action, or carrier disruption.

If such an event materially affects an Order, we will make reasonable efforts to inform the Customer and provide an appropriate solution where possible.

16. PRIVACY

Personal data is processed in accordance with our Privacy Policy, which forms part of these Terms and is available in the Store footer.

17. CHANGES TO THESE TERMS

We may update these Terms when our products, Store operations, business practices, or legal obligations change.

The version published in the Store at the time the Customer places an Order applies to that Order, unless a change is required by law or is made for the Customer’s benefit.

18. GOVERNING LAW AND DISPUTES

These Terms are governed by Polish law.

If you are a Consumer, this choice of law does not deprive you of mandatory protections provided by the law of the country in which you have your habitual residence, where those protections apply.

We encourage Customers to contact us first at info@skratchlogic.com so that we can attempt to resolve any concern amicably.

Any dispute that cannot be resolved amicably will be submitted to the competent court in accordance with applicable law. Nothing in these Terms limits a Consumer’s mandatory right to bring a claim before a court that has jurisdiction under applicable consumer-protection law.
